Terms and Conditions for Good Numbers Tier 4 Tool (Beta)

Introduction

Welcome to the Good Numbers Tier 4 Tool (referred to as “the Tool”). By accessing and using the Tool, you (“the User”) agree to these terms and conditions. The Tool is provided by Good Numbers, a non-profit financial tools service based in Aotearoa New Zealand. The Tier 4 Tool has two variants:

• Self-Service
• Full Service

Terms and Conditions set out here apply to both variants unless stated otherwise.

Eligibility

The Tool is designed for use by non-profit organisations that meet the following criteria:

• The User’s organisation should report as a Tier 4 charity under New Zealand’s Not-For-Profit XRB reporting standards.
• The User’s organisation is not registered for Goods and Services Tax (GST).

By using the Tool, the User confirms that they meet these eligibility requirements.

No Guarantees

Self-Service: The Tool is currently in beta testing. While we aim to improve its accuracy and functionality, Good Numbers makes no guarantees regarding the correctness or completeness of the financial statements generated by the Tool. The User acknowledges that:

• Financial statements produced by the Tool may contain errors or omissions; and
• The User remains responsible for confirming the accuracy and completeness of any financial statements generated through the Tool before submission to Charities Services or other agencies.

Full Service: Good Numbers staff work with Users to generate a full and complete set of financial statements. However, the User retains full responsibility for reviewing and confirming their accuracy.

Limitation of Liability

Self-Service: Good Numbers accepts no liability for any errors, omissions, or inaccuracies in the financial statements produced by the Tool. The User assumes all responsibility for the results generated and any actions taken based on the data provided by the Tool.

Full Service: The User assumes all responsibility for the results generated and any actions taken based on the information provided by the Tool.

Data Usage and Privacy

Good Numbers is committed to protecting your privacy and complies with the New Zealand Privacy Act 2020 and the Information Privacy Principles (IPPs).

• What information we collect and how we collect it;
• The purposes for which we use and share information;
• Where and how information is stored;
• How long it is retained; and
• Your rights to access and correct personal information.

Users who connect their bank accounts via Akahu must also comply with Akahu’s own terms and privacy policy:

Intellectual Property

The Tool and all associated materials, including but not limited to its code, design, and content, are the intellectual property of Good Numbers. The User is granted a non-exclusive, revocable license to use the Tool for their non-profit organisation’s financial reporting purposes.

User Responsibilities

The User agrees to use the Tool responsibly and for lawful purposes only. By uploading bank statements or accessing data, the User confirms they have the necessary permissions to use and share this information. The User agrees not to misuse the Tool or attempt to interfere with its functionality.

Changes to the Terms and Conditions

Good Numbers reserves the right to update these terms and conditions at any time. Any changes will be communicated to the User, and continued use of the Tool constitutes acceptance of the updated terms.

Discontinuation of the Service

Good Numbers may modify, suspend, or discontinue the Tool at any time, without prior notice. In the event of discontinuation, Good Numbers will make reasonable efforts to notify Users.

Jurisdiction

These terms and conditions are governed by the laws of New Zealand. Any disputes arising from the use of the Tool will be subject to the exclusive jurisdiction of the courts of New Zealand.

By using the Good Numbers Tier 4 Tool, the User agrees to these terms and conditions. If the User does not agree, they must cease using the Tool immediately.
